Show -9- This Agreement, Made and entered into this Third day of April, 1900, by and between the California Development Company a corporation duly organized and existing under and by virtue of the laws of the State of New Jersey, party of the first part, and George Chaffey, of the City of Los Angeles, County of Los Angeles, State of California, party of the second part, Witnesseth : That Whereas, first party is the owner of all the capital stock of the Sociedad de Yrrigacion y Terrenos de la Baja California, (Sociedad Anonima) a corporation duly formed and existing under and by virtue of the laws of the Republic of Mexico, and Whereas, said Sociedad de Yrrigacion y Terrenos de la Baja California, S. A. is the owner of a large tract of land located in Lower California, in the Republic of Mexico, south of and contiguous to the International Boundary line, containing about one hundred thousand (100,000) acres and extending from the Colorado River on the east to the mountains on the west; and Whereas, first party is desirous of constructing certain canals for the purpose of utilizing a portion of the water of the Colorado River, for irrigating said lands, and other lands; and Whereas, party of the first part desires to secure the services of party of the second part, to superintend the construction of said canal system, and to assist in the management of the financial affairs of party of the first part in connection with such work; and Whereas, Imperial Water Company Number One is a corporation formed and existing under and by virtue of the laws of the State of California, for the purpose of supplying water to their stockholders; and |
