Show -13- Director General of the Company, and another of its members Vice-President.-The Treasurer of the Company and the Secretary shall be elected by the Board of Directors, and the same person may hold both offices.-The meetings of the Board of Directors shall be held in the place and on the dates which the Board may resolve from time to time.-Special meetings shall be called at any time by order of the President or of the other two members of the Board, notifying the date and place in which the meeting is to be held. At any meeting of the Board of Directors, two of its members shall constitute a quorum, there being required in this case in order to pass a resolution, the mutual agreement of both. The Board of Directors may establish offices for the dispatch of the affairs of the Company, as well as a principal office, in the place or places in or without the Territory of Lower California which it may think advisable, and it may order the books of the Company, with the exception of the Register of Shares, to be kept in any office of the Company. Besides the President, Vice-President, Secretary and Treasurer, the Board of Directors may name, or have named by its order, such officers, agents or managers of the Company, as it may deem advisable. These officers, agents or managers shall fulfill such obligations, hold office for such time, and receive such remuneration, as the Board may from time to time determine. The President.
