Show -13- Article 19.-Each share shall entitle its owner to the right of being present, with voice and vote, at the meetings, participating in dividends, and receiving his proportionate share of the captal stock, in the event of the liquidation of the "Sociedad."- Article 20.-Shares shall be transferrable by the simple endorsement and surrender of certificates of same, or by other means as prescribed by law.- Article 21.-The capital stock shall be used to meet the obligations of the Compania, the shareholders, not being responsible for more than the value of their shares.- Article 22.-When a stock certificate shall be lost or destroyed, and the replacement of same shall be requested, the Compania shall publish such request, at least three times in one month, in the "Periodico Oficial." If the period of three months shall pass from the date of the last publication, and no opposition shall be presented, a duplicate certificate shall be issued, and circumstances regarding same shall be stated thereon in writing; if there be any opposition raised, said duplicate certificate shall be void unless accompanied by a judicial decree. In both cases, the costs shall be paid by the party requesting said duplicate certificate. Section Four : - Meetings. - Article 23. - General Meetings of Stockholders, whether they be regular or special, shall be composed of a union of stockholders, in accordance with provisions made by law, and that contained within the present statutes.- Article 24.-An annual meeting of Stockholders, shall be held once each year, after the closing of the fiscal year, on the date which shall be determined by the Board of Directors, of which notice shall be given at least fifteen days in advance, in the 'periodico oficial' (Official News). |
