Show -12- Article 13.-The Treasurer shall have charge of the Funds, and keeping of accounts, performing the duties belonging to his office.- Article 14.-The Treasurer shall deposit the funds of the "Sociedad," in such bank or banks as shall be selected by the Board of Directors, making withdrawals from same by means of checks or other vouchers, which he will sign in union with the person or persons which the Board of Directors shall appoint.- Article 15.-The General Manager, appointed by the Board of Directors, shall have charge of the business transactions of the "Sociedad," acting as its representative in all matters regarding same, with the right to appoint general and special agents, possessing such faculties and powers as shall be esteemed necessary, executing and signing public and private deeds, as the case shall be, with the clauses relative thereto, and shall have such other powers as shall be conceded by the Board of Directors.- Article 16.-The attorney shall be appointed at the General Meeting of Stockholders, and shall guard the interests of the "Sociedad," fulfilling the duties prescribed by law.- Section Three.-Capital Stock.-Article 17.-The capital stock shall be Five Hundred Thousand ($500,-000) Dollars, divided into five thousand shares, having a value of one hundred ($100) dollars, each. Article 18.-The shares shall be registered and in con-formance with that contained in article one hundred sixty-nine, of the Code of Commerce. They shall be detached from a stock certificate book, and shall be signed by the President and Secretary.- |
