Show -11- Article 7.-The Board of Directors shall have ample powers to carry on all operations, which the nature and object of the "sociedad" shall necessitate: Article 8.-If through death, resignation, absence or for any other reason, one or more members of the Board shall fail to be present, the vacancies shall be filled from among the stockholders, by appointment of the member or members, who shall continue in the performance of such duties. Those elected shall continue to be in office until the following elections. Article 9.-The Board of Directors, shall appoint the General Manager, for his term of office, possessing such powers as shall be agreed upon by said Board, the latter having the right to remove him with or without cause, at their judgment. Second Section:-Various Officers.-Article 10. The President shall preside over regular and special meetings, including the meetings of the Board of Directors, having the powers belonging to his office, or such as shall be conceded to him by the Board of Directors.- Article 11.-The Vice-President shall exercise all the powers of the President at meetings of the stockholders or Board of Directors, in case the President fails to be present, or is absent from the place in which such meetings shall be held.- Article 12.-The Secretary shall keep the respective minute-books, stock register and other books belonging to his office, and shall have in his charge the files of the "Sociedad," and shall perform the duties set forth in these Statutes, including such other duties as shall be required of him.- |
