Show -13- special meeting assembled and duly and legally called for the purpose, there being more than two-thirds of the issued capital stock of said Mutual Water Company, represented either in person or by proxy at said meeting, that the stockholders represented at said meeting, as aforesaid, do hereby consent to the sale by said Mutual Water Company to said Irrigation District of all of the real and personal property agreed to be conveyed by said Mutual Water Company to said Irrigation District as aforesaid, for the purchase price and upon the terms and conditions hereinbefore specified, and as set out in said agreements and in said deed and said bill of sale, and do hereby further consent to the execution and delivery of said deed and of said bill of sale, and that the said stockholders represented at said meeting as aforesaid do hereby ratify, confirm and approve the execution and delivery of said deed and of said bill of sale. I, A. T. Stadler, Secretary of Palo Verde Mutual Water Company, the corporation named in the foregoing resolution, do hereby certify that I am and at all times herein mentioned was the Secretary of said corporation; that the foregoing resolution was duly passed and adopted by the stockholders of said Palo Verde Mutual Water Company at a special meeting of said stockholders held on December 17th, 1925, at the office and principal place of business of said corporation at Blythe, California, that there were present and represented at said meeting either in person or by proxy 35,796 shares of the capital stock of said corporation, being more than two-thirds of the stock of said corporation, which is either issued, outstanding or subscribed for; that the total number of shares of the capital stock of said corporation subscribed for, |
