Show and deliver unto the party of the second part all of its books of account, office records, correspondence, papers, files and books; provided, however, that the members of the Board of Directors of the party of the first part, in office at the time of its dissolution, their successors, or such other persons as may be appointed Trustees of party of the first part upon its dissolution, and the stockholders of the party of the first part at the time of its dissolution, and each and all of them, shall at all times thereafter, have free access to all of same; and, also provided, that at all times prior to the dissolution of the party of the first part, the party of the second part, its agents and officers shall have free access to all or same. 3. That in consideration of the covenants and agreements herein contained, the party of the second part, at all times after delivery to it of any of the personal property herein specified to be conveyed or delivered to party of the second part, will and shall preserve and maintain same in good and systematic order and condition, so that any thereof may be easily found, examined and made use of, and so that all of same will be carefully preserved. The party of the second part shall not, however, be responsible for ordinary wear or deterioration by reason of use. To Have and to Hold the same to the said party of the second part, its successors and assigns forever. In Witness Whereof the said Palo Verde Mutual Water Company, a corporation, party of the first part herein, being duly authorized to executed this Bill of Sale by the consent of its stockholders holding of record more than two-thirds of its issued capital stock, and also by resolution of its Board of Directors duly passed and |
