Show Resolution It Is Hereby Resolved by the Board of Directors of Palo Verde Mutual Water Company, a corporation organized under the laws of the State of California, with its principal place of business at Blythe, California, that the President or Vice President and Secretary or Assistant Secretary of said Palo Verde Mutual Water Company be and they are hereby authorized, empowered and directed to execute and deliver under the corporate name and seal of said corporation, and for and on its behalf, a certain deed and a certain bill of sale, particularly described as follows: 1. A deed dated the 1st day of December, 1925, made by said Palo Verde Mutual Water Company, as grantor therein, to Palo Verde Irrigation District, as grantee therein, and conveying to said Irrigation District, the irrigation system of said Mutual Water Company, all of its water rights and certain of its real property, for a selling price of $1,274,362.50, and the assumption by said Irrigation District of the bonded indebtedness of said Mutual Water Company in the amount of $350,000.00 together with interest thereon from August 1st, 1925, at the rate of six per cent per annum, and a true copy of which deed is inserted in minute book No. 6 of said Mutual Water Company, comprising pages 114 to 121, both inclusive of said minute book, and 2. A certain bill of sale dated the 1st day of December, 1925, made by said Palo Verde Mutual Water Company, as party of the first part therein, to said Palo Verde Irrigation District, as party of the second part therein and conveying to said Irrigation District, certain of the personal property of said Mutual Water Company, the con- |
