Hoffman, Secretary for The California Development Company, a corporation duly organized and still existing under and by virtue of the laws of New Jersey, one of the United States of America, being first duly sworn on oath, depose, say and do hereby certify that the foregoing is a true, correct and faithful copy of the minutes or proceedings of the stockholders and in-corporators of the said Company held and had at their first meeting at the office of the New Jersey Corporations Agency, Nos. 243 and 245 Washington Street, Jersey City, State of New Jersey, U. S. A., on the 25th day of April, 1896, at one o'clock in the afternoon, and I Do Hereby Further Certify, depose and say that I have compared the above copy with the minutes or proceedings as taken from those duly and regularly recorded in the minute book of the Company in its office at No. 35 Nassau Street in the City of New York, U. S. A. and that said minutes or proceedings are now at the present time in full force and effect. Witness my hand and the seal of the Company this fifteenth day of February, 1899. /s/ Chas. E.
