-2- entirety and in one parcel to the highest bidder on Tuesday the 8th day of February, 1916, at 9:30 o'clock A. M. of that day at the county courthouse at El Centro in the County of Imperial, State of California, and in front of the main entrance to said courthouse. And the party of the second part having at said time and place bid the sum of Three Million, Eight Hundred Seventy-five Thousand Dollars ($3,875,000.00) in gold coin of the United States, such bid being the highest bid therefor, and said bid having been accepted by party of the first part, and said properties having been duly sold to the party of the second part, and party of the first part having thereafter duly filed his verified report and petition for confirmation of such sale by the said superior Court of the State of California in and for the County of Los Angeles, and the said petition duly coming on regularly for hearing after due notice thereof before said Superior Court, on the 21st day of February, 1916, and no objections being made thereto and it appearing that said sale was in each and every particular fair, regular and in accordance with law; that due notice thereof had been given as required by law; that the said party of the second part was the highest bidder for said properties; that said properties had been duly sold to said party of the second part, and the Court having entered its order confirming said sale in all respects and thereafter on the 23rd day of February, 1916, the said Superior Court having duly entered its order and finding that said party of the second part had duly paid to the party of the first part the purchase price of said properties and having authorized, directed and instructed the said party of the first part to deliver to party of the second part forthwith, each and all of said properties and the possession thereof and to execute
