Show 93. ARTICLE XI pmmmm, First-The Treasurer shall receive and keep all funds of the corporation and pay them out in such manner as may be prescribed by resolution of the Board of Directors. Second.-At each annual meeting of the stock-holders, be shall submit for their information, a complete statement of his account for the preceding year, together with the proper vouchers. He shall discharge such other duties, pertaining to his office, as shall be prescribed by the Board of Directors. The Directors may in their discretion elect and appoint any responsible Bank as Treasurer of the Company. ARTICLE XII, CCNEXAL MANACE*. It shall be the duty of the General Manager, if one be appointed, to have and exercise general control and management of the affairs, business and property of the corporation, subject to the control of the Board of Directors; PROVIDED, that the Board of Directors may limit such duties and authority to such extent as they mav, in their discretion, *ee fit. He shall also, at all times, perform such other duties as may. from time to time, be prescribed by the Board of Directors. ARTICLE XIII SltPMUNTENDENT. It shall he the duty of the Superintendent, if one be appointed, to exercise immediate supervision of the distribution of water and of the water system and other property nl thr corpora tion anil to have immediate charge of all the works and improvements of the cor|»>»ti<xi, while under construction and after the same are completed, subject at all times, however, to the direction and control of the Hoard of Director-and of the (General Manger, if there be one in office In the absence of a General Manager in office, the Board of Directors may require the Superintendent to perform such of the duties of Gen-eral Manager as they may direct, or such Board may, at any time, limit the duties of the Su perintendent to any portion of the duties herein prescribed for such office. The Superintendent shall also, at all times, perform such other duties as may be prescribed, from time to lime. by the Board of Directors. ARTICLE XIV. executive committkf.. The Board of Directors may, at their option and in their discretion, appoint an executive committee to hold office at the pleasure of the Board of Directors, to be composed of three meml>ers, each of whom shall be-a Director of the corpora tion. It shall be the duty of such executive committee to consult with each other in regard to the business of the Company, ami especially as to any business requiring immediate attention, and such committee shall have the power and authority to transact or authorize the transaction of any business within the general scope and purposes of the corporation, subject to the approval of the Board of Directors. |
