This is the first time I have seen these letters. I reviewed my memorandum to the Board on October 7, 1969, in which I enclosed the final draft of the Amended Bylaws, and I note that that letter indicates that a copy of the Amended Bylaws were sent at that time to Jim Riley. The letters I enclose leave no doubt in my mind that Jim Riley ~vas fully informed and advised as to what the final draft of the Bylaws was. Now, can you understand in any way whatsoever why he would sit down and write another version of the Bylaws separate and distinct from those which the Board of Directors of PSIA actually passed, and then proceed to present those Bylaws personally to Intermountain Division, Rocky Mountain Division and Northern Rocky Mountain Division as though those were the Amended Bylaws which PSIA had passed? to e unau- Finally, on March 13, 1970, a copy of the fifth draft was sent to me, and do you know what •.• that draft is almost word for word the same as the third draft which we used in making whatever changes we desired and then adopted. We are supposed to be a professional organization. Jim Riley is an attorney. He has a higher degree of knowledge as to bylaws and their amendment than the average member. To: PSIA Board of Directors and Division Presidents -2- March 26, 1970 In the past it has been suggested that differences in Bylaw provisions were the result of some misunderstanding or misinterpretation. I am now firmly convinced that it was strategy on his part, and perhaps others, to overcome differences of opinion" he has with what the Board of Directors of PSIA passed in Toronto and what he would like to have seen them pass. Let me remind you that even though he received a copy of the Bylaws at the same time you did, never had I ever had any communication from Jim Riley indicating that he disagreed that that is what took place in Toronto or anything of the kind. He simply reinstated his third draft with a few minor changes and then passed that off as supposedly the Amended Bylaws of PSIA. I can only say that the situation is beyond my comprehension. It is my understanding that it is impossible to have a membership meeting this spring and that none will be called. It is also my understanding that a Directors' meeting is unlikely. It is my opinion that unless any of you can come up with a better solution or plan, that we should reinstate previous Bylaws of PSIA and start over again; and this time prepare Amended Bylaws with the recommendation to the membership that they be adopted, and then permit the membership to vote on the Amended Bylaws before they are put into effect. (NASIC) held in Vail, Colorado April 13 - 19, 1970, it is apparent that a method for selecting and maintaining an active I.SoIoA. Demo Team be initiated and followed through by this Board. I would therefore, like to submit to the Board the following ~ystem which was arrived at after consulting with the ~esident and many other interested parties. I think this is a valid system . and feel that it should, in some form, be instituted by this Board at this time. Purpose: To provide a broader basis for communication regarding oertification and accepted certification policies between the oertification committee and -the membership witnloQsl on-the-snow c11nics. To maintain an up-to-date and technioally proficient demonstration team to represent I.S.IoA. on the national level. The reason for this being to tie in more closely technically with other divisions. Selection of initial ten man Team and Tenure: 1: In the fall of 1970, a tem member team will be ohosen. The highest scoring five members will hold two year terms. The lowest scoring five will hold. term until Spring Clinic of 1971. 2: Thereafter, at each spring clinic startin~ in 1971, a compliment of five team members will be ohosen to replace the members whose term has expired. Retiring members w11l be eli~ib1e to compete for reinstatement. 3: Records shall be kept by the committee ohairman and in the event a team member resigns, the ohairman will select the next person on the competitive list to replace him for the remainder ot his term. Pond, Chairman of the By-laws Committee Re: By-laws Committee Report for the Past Year. Gentlemen: Over the past year, your By-laws Committee has acted upon several requests of the Board of Directors and the Presidency of this association. The Committee has consisted of myself, Bill Haskins, a director, and Fred Finlinson, an associate member of our association and an attorney at law. The nature of the work done during the past year has required individual rather than committee action, but your Chairman has acted only after consultation with other members of the committee. Pursuant to the direction of the Board of Directors, the committee has reviewed the Articles of Incorporation as well as the By-laws of this association and made several recommendations to the Board of Directors. Those recommendations were presented to the Board of Directors, proper notice having been given, and such recommendations were approved by the Board of Directors as incorporated in the minutes of that meeting. Thus, pursuant to the Board's direction such recommendations were incorporated in the By-laws and Articles and after printing, they were mailed to the general membership of the association. It is the feeling of the committee at this point that the By-laws of this association, as recently mailed -2- to association members, represent an accurate and true copy of the By-laws of this'association. At the request of President Lundberg, your committee also prepared basic information on corporate proxies, which information was passed out to the Board members at last years spring clinic on April 27, 1969. This information is inteIJded to be a guideline to the Board members as they consider what action should be taken in the affairs of this association. The only other item of business delegated to this committee during the past year related to the ratification of P.S.I.A. By-laws and their inter-relationship with this association's By-laws. However, any work that needed to be done in this area has been pre-empted by this Boards actions at its recent Board meeting on April 10, 1970, wherein action ratifying P.S.I.A. By-laws was revoked. As you have explained it, you were given very little space with which to cover the sport, technique, of course, being only a part of that and the purpose of your call to me; and you have also explained the fact that it isn't a matter of competition with our publication since nobody is going to lug the World Encyclopedia out to work on their ski technique.
