Parkinson 2245 Oneida Street Salt Lake City, Utah 84109 Dear Clark: Re: Aruma1 Meeting July 19, 1971 I have reviewed the Articles of Incorporation and find no provision therein requiring or relating to the annual meeting. In reviewing the Dy-Laws, I find that the annual meeting is Inentioned in the following sections: Section 1 - The annual meeting is mentioned in connection with vacancies. This reference does not apply at the present time. Section 6 iniicates that the Board of Directors shall meet within two days of the annual meeting. It does not require a given time or date for that meet ing, however. Section 9 deals most directly with the annual meeting. It indicates that the corporation shall hold an arlllual meeting and that the place and hour are to be set by the majority vote of members at the preceding annual meeting. However, as in the case this year, no determination was made. Therefore, the Board of Directors can determine the hour and place of such annual meeting. I should indicate that the executive committee, under the provision of Section 4, could exercise the determination for and on behalf of the governing board in setting the time arld place. Therefore, fran a review of the By-Laws, it should be noted t}llit: 1. We are required to hold an annual meeting for the general membership. 2. This meeting must occur within the fiscal year of the Association, which means that an arulUa1 meeting must be held prior to June 30, 1972. July 19, 1971 Page 2 Mr. Clark T. Parkinson t h 3.. I am interested in teaching full time this winter at a larger area in the Intermountain Division and would sure aopreciate some direction as to how I should go about lining up a job. Could you send me a list of the names of the ski school directors and their addresses for your Division? Should I then send out a resume with recommendatton letters, picture, etc. or just ask for an application? When I find out just how the job situation is going to look)would it be a good idea to check out the better ones over Thanksgiving and ski with the directors, if possible? What are thp advantages/disadvantages of transferring my NRMSA membership to your Division? Do you plan any Fall Symposium and if so where and when? Certification Policy 1970-71 A. Examined more candidates than the previous two years. 1970-71 125 1969-70 74 1968-69 114 1967-68 151 B. Causes of Increase 1. Policy change allowing variations in methods 2. More emphasis--Newsletter, etc. 3. Support of Ski School Directors C. Problems 1. Examiners had difficulty following new methods. a. Methods were not logical and continuous 2. Examiners and Ski School Directors and supervisors disagreed on methods. a. Interpretations of forms differed (up-hill Christie) 3. Problem Areas a. Too many Park City examiners. 3. Certification Chairman was not qualified. 4. Exam doesn't allow enough skiing. 5. New people are not being used as examiners. E.
