Show be transacted thereat, shall be given by the Secretary to each Trustee either orally or in writing at least seven days before such special meeting. Section 4.03, Quorum, The presence in person of at least one Trustee from each of a majority of the Class A Members shall be necessary to constitute a quorum for the transaction of business. In the absence of one of the Trustees representing a Class A Member, the other Trustee representing such member may cast two votes on any matter before the Board. Except as otherwise specifically provided or required by law, whenever a specified percentage of votes is required to effect action at a meeting of the Trustees, such percentage shall be applicable to the number of votes entitled to be cast by the Trustees present at such meeting. Section 4.09. Executive Committee. There shall be an Executive Committee consisting of the President, Vice President, Secretary and Treasurer (if the Treasurer is a Trustee), plus two or more Trustees who are not officers of the corporation to be appointed by the Board of Trustees. The Executive Committee, to the extent provided in a resolution adopted by the Board shall have and exercise the authority of the Board of Trustees in the management of the business of the corporation. If an Executive Committee be appointed, it shall keep regular minutes of its proceedings and report the same to the Board at each regular meeting. Section 4.10. Other Committees. The Board of Trustees may, at any time and from time to time, appoint such standing committees and/or special committees, consisting of Trustees or others, to perform such duties and make such investigations and reports as the Board shall hj resolution determine. Such committees shall determine their own organization and times and places of meeting, unless otherwise directed by such resolution. The Board of Trustees may, either at the time such Committees are formed or at any later times, name alternates to serve in the absence of any member of any Committee, including the Executive Committee. Section 4.11. Expenses and Remuneration. Trustees shall receive no remuneration as such, but may be reimbursed for out-of- pocket expenses incurred in carrying out their duties, including expenses incurred in traveling to and from the place of each meeting of the Board of Trustees or of any committee appointed by the Board. Any Trustee may receive remuneration for his services as an officer So r an agent of the Corporation. |
