Show ARTICLE V 0PFICER3 AND AGENTS Section 5.01. Number and Qualifications. The officers of the corporation shall include a President, a Vice President, a Secretary and a Treasurer, and such other officers as the Board of Trustees may from time to time appoint. Any two or more offices may be held by the same person, except the offices of President and Secretary. The President, Vice President and Secretary must be Trustees. Section 5.02. Election and Term of Office. The officers of the corporation shall be chosen by the Board of Trustees at its annual meeting but the Board may choose officers or fill any vacancies among the officers at any other meeting. Subject to earlier termination of office, each officer shall hold office for one year and until his successor shall have been duly chosen and qualified. Section 5.03. The President. The President shall be the chief executive officer of the corporation and shall have general supervision over the business and operations of the corporation, subject, however, to the control of the Board of Trustees. He shall sign, execute and acknowledge, in the name of the corporation, instruments authorized by the Board of Trustees, except in cases where the signing and execution thereof shall be expressly delegated by the Board of Trustees or by these By-Laws, to some other officer or agent of the corporation; and, in general, he shall perform all duties incident to the office of President and such other duties as from time to time may be assigned to him by the Board of Trustees. Section 5.04. The Vice President. In the absence or disability of the President, the Vice President may perform all the duties of the President, and, when so acting, shall have all the powers of, and be subject to all the restrictions upon, the President; provided, however, that the Vice President shall not act as a member of or as chairman of any special committee of which the President is a member or chairman by designation or ex-officio, except when designated by the Board of Trustees. The Vice President shall perform such other duties as may from time to time be assigned to him by the Board of Trustees or the President. Section 5.05. The Secretary. The Secretary shall record all votes of the members and of the Trustees and the minutes of the meetings of the members and of the Board of Trustees in a book or books to be kept for that purpose; shall see that notices are given and records and reports properly kept and filed by 7 |
