Show Member shall designate in writing the individuals to serve as its representatives on the Board of Trustees, and upon the filing*of such designation with the Secretary of the corporation such individuals shall become members of the Board of Trustees of the corporation. Bach Trustee so designated shall serve until death, resignation or replacement In accordance with clause (a) of Section 3.02 or until such Trustee shall become disqualified to act as Trustee by reason of loss of status in the "member organization which he or she represents. Section 3.02. Replacement and Appointment of Successors. Each Class A Member may, at any time or from time to time, by an instrument in writing lodged with the Secretary of the corporation, (a) replace any individual serving as representative of such member" of the Board of Trustees from such office and (b) whenever a Trustee previously designated by such member has been so replaced or has died, resigned or become disqualified, appoint a successor representative Trustee. Section 3.03. Election of Trustees by Class 3 Members. Class B Ilembers of the corporation, collectively, shall at each annual meeting of members elect to the Board of Trustees the number of individuals specified in §4.01 of Article IV, each of whom shall be and remain a member in good standing of the faculty of one of such Class B Members. Each Class 3 Member shall have the right to cast one vote non-cumulatively for as many individuals as the Class 3 Members are entitled to elect to the Board. The candidate receiving the highest number of votes cast shall be elected. The Trustee so elected shall not be subject to replacement by the Class B Members prior to the expiration of his term. Section 3.04. Term of Trustees Elected by Class 3 Members. Bach Trustee so elected by the Class 3 Members shall serve until the next annual meeting of members unless he shall sooner die, resign or become disqualified to serve as Trustee by reason of loss of faculty status with a Class B Member. Upon such death, resignation or disqualification of the Trustee so elected, a majority of the remaining Trustees in office shall have the power to fill such vacancy until the next annual meeting of members. Section 3.05. Trustees-at-Large. The Board of Trustees may elect from time to time one or more Trustees-at-Large to serve for a period of two years. Such Trustees shall have all the rights, duties and powers of the other Trustees. 4 |
