III. PROHIBITION AGAINST SHARING CORPORATE EARNINGS No member, Trustee, Officer of, or member of a committee of or any person connected with the corporation or any other private individual shall receive at any time any of the net earnings or pecuniary profits from the operations of the corporation, provided, that this shall not prevent the payment to any such person of such reasonable compensation for services rendered to or for the corporation in effecting any of its purposes as shall be fixed by the Governing Board nor the reimbursement to any such person of actual expenses incurred on behalf of the corporation; and no such person or persons shall be entitled to share in the distribution of any of the corporate assets upon the dissolution of the corporation. IN WITNESS WHEREOF, WE, the undersigned, have hereunto set our hands, this 5th day of November, 1967. INSTRUCTORS ASSOCIATION BYLAWS OF CENTRAL SKI INSTRUCTORS ASSOCIATION, INC. ARTICLE I - NAME The name of this organization shall be the Central Ski Instructors Association, Inc., hereinafter referred to as "CSIA." ARTICLE II - PURPOSE The purpose of this organization shall be as stated in the Articles of Incorporation of the CSIA. ARTICLE III - MEMBERSHIP Section 1. Definition. (a) Ski instructors: The term "ski instructor" is defined as one who teaches skiing primarily for remuneration, or one who coaches, guides, supervises, directs or otherwise has any connection with skiing classes, tours or trips for which a fee is charged. Certification "Full or Associate" shall be open only to persons who are a minimum of 18 years. Persons can become "Regis tered" upon reaching 16 years of age. (b) Geographic regions: All ski instructors who teach or otherwise work within the geographic region encompassed by the CSIA, or such other area as may be prescribed by the Board of Directors of this corporation, are eligible for membership, provided that they meet the requirements herein established. (c) Establishment and Administration of Certification Requirements: The Board of Directors shall establish the certification requirements for the various classifications of membership. Such shall be under the administration of the Certification Vice President. Any person who subscribes to the Code of Ethics hereinafter set forth and whom the Certification Vice President declares to have fulfilled the certification requirements shall be eligible for membership in this corporation. (d) Year: Year, when used herein, shall mean a fiscal year ending June 30 in each year. Section 2. Voting Members. (a) Full Certified Instructors: A certified instructor in good standing is entitled to one vote. (b) Associate Certified Instructors: An associate certified instructor in good standing is entitled to one vote. -1- Section 3. Non-voting Members. The following categories of membership shall have all the rights of membership, except the right to vote and to hold office. (a) Registered Instructors: To attain the status of registered instructor, a person must be sixteen years of age, attend or have attended a sanctioned precourse, or its equivalent, or must be recommended for such status by a Ski School Director who is certified. (b) Alumni: A CSIA voting member who has been actively teaching for at least ten years and who wishes to discontinue teaching but desires to remain affiliated with the CSIA may request status as an alumnus by application to the Board of Directors. Such alumni may, but is not required to, attend the annual clinics and all other functions of the CSIA, and shall be mailed all correspondence and literature sent to the membership. An alumni may be reinstated as full or associate if application is made within two (2) years, after such time he must take and pass a certification examination whether it be full or associate. (c) Inactive Instructors: A full certified or associate instructor in good standing who wishes to become temporarily inactive in teaching, but remain affiliated withCSIA, may request status as an inactive instructor by application to the Board of Directors. An instructor may be granted such status for a period not to exceed two years, and this status, once granted, may be renewed in the sole discretion of the Board of Directors. An application for renewal shall be given the same consideration by the Board as the original application for inactive status. While on inactive status, clinic requirements are waived. (d) Honorary Member: The Board of Directors may, from time to time, select persons to be given this status. No dues shall be required of an honorary member, but all other fees shall apply. Section 4. Certification Requirements. (a) Examinations: Examinations for associate certified and certified ski instructors shall be established and conducted under the supervision of the Board of Directors. 1. Examinations for associate certified and certified instructor shall be given at such places as the Board of Directors may determine. Candidates for this examination must be recommended for such by their ski school head certifying a minimum of sixty hours of teaching, and they must be registered instructors. All candidates must have current American Red Cross First Aid Card before taking the examination. -2- (b) Maintaining Certification Status: Once an instructor has passed an examination for certified instructor, he shall not be required to retake the examination, provided that he remains active in the ski teaching profession, and spends a majority of his skiteaching time each year within the geographic region of the CSIA; maintains his teaching proficiency; attends an annual two-day clinic at least once every two years, or such substitute training program as the Board may from time to time authorize (if a clinic is attended in another division, certified evidence of attendance must be submitted before it will be considered by the Board of Directors); pays his annual dues; subscribes to the Code of Ethics set forth in Article XIV herein; and meets all other requirements set forth in these Bylaws. (c) Reciprocal Agreements: The CSIA recognizes the qualification and status of ski instructors presenting proper credentials from any division of the USSA or equivalent foreign certifying body, provided such organization also recognizes the qualification and status of CSIA instructors. 1. Ski instructors whose qualifications are accepted under the reciprocal agreement shall be granted membership and appropriate classification in the CSIA without examination, provided that other requirements for membership are satisified. 2. The Board of Directors may require ski instructors whose qualifications are unacceptable under reciprocal agreements to pass an examination before granting membership in the CSIA. In such cases the Board may waive examination fees. Section 5. Reinstatement of Status and/or Membership. (a) Membership shall terminate thirty (30) days following the mailing of formal notice of non-payment of dues or upon failure of fulfilling the requirements of Section 4 (b). A terminated member may be reinstated upon petitioning the Board of Directors and fulfilling the following requirements: 1. Give an acceptable explanation for his reinstatement. 2. Pay all present and back dues. (b) An instructor who has been terminated for more than two (2) years for any reason must satisfy the requirements of original certification. ARTICLE IV - DUES Sect:ion 1. The annual dues to be charged for the various categories of members shall be determined by the Board of Directors at the Spring Board meeting. Dues shall be payable on acceptance to membership of the CSIA and annually thereafter on or before October 1. -3- Section 2. Members whose dues are in arrears for three months, shall receive a formal notification from the Board or its appointed representative. If such dues are not paid within a period of thirty (30) days following the mailing of formal notice, the member shall be terminated and the notice of such action shall be made to the member and to the director of his ski school. ARTICLE V - REGIONS, SECTIONS AND AREA REPRESENTATIVES Section 1. Regions and Sections. For the purpose of electing Directors and allowing sectional meetings, the Board of Directors shall designate the boundaries of the various geographic regions and sections within the whole encompassed by this corporation. There shall be a West and East Region and three (3) sections in each region or a total of six (6) sections. ARTICLE VI - MEMBERSHIP MEETINGS Section 1. Annual Meetings. An Annual Meeting shall be held at a time and place determined by the Board. Notice of such meeting shall be mailed to each member not less than twenty (20) nor more than fifty (50) days in advance of said meeting. Section 2. Special meetings of the membership shall be called by a majority of the Board of Directors or the President at the time and place to be determined by the Board or the President, and notice of such meetings, stating the nature of business to be transacted, shall be sent to each member to arrive not less than twenty (20) nor more than fifty (50) days prior to the meeting date. Section 3. Business to be Conducted at Membership Meetings. The nature of business to be transacted or questions to be considered shall be limited to those specified in the notice of any regular or special meeting. Section 4. Membership Balloting by Mail. Matters to be voted upon by the membership, such as election of the members of the Board of Directors and such other business as the Board may deem in the best interest of the organization, can be submitted to membership by mail ballot. In such instances the business so submitted, with the exception of elections, shall be stated in such a nature as to permit a yes or no vote. Mail ballots so submitted must contain thereon a statement of the date at which said ballots will be counted. -4- Section 5. Quorums. (a) Qualified voters attending membership meetings, either general or sectional, shall constitute a quorum, provided that they number not less than ten (10) percent of the membership, or ten (10) members, whichever is greater. Such members must cast their ballots in person. Proxy votes will not be accepted. (b) Mail Ballots: For elections and transaction of business by mail, a majority of the ballots returned shall decide the issue. Section 6. Section Representatives. One section representative per section shall be elected for a one-year term by the vote of the membership within such section at an annual meeting, or in the case of a section not holding such meeting, he shall be appointed by the President upon recommendation of the two Board members of that section. Section representatives who are not Board members shall meet with the Board of Directors at regular and special Board meetings, but shall not have a vote as a Director. Their other duties include, but are not limited to, giving notice of sectional meetings; presiding over sectional meetings; appointing area representatives who shall maintain contact with the ski areas within their respective sections; and performing such other duties as the Board or section membership may prescribe. Section 7. Section Meetings. (a) Sectional meetings shall be held at least once each year, and notice of such meeting shall be sent to all members in the appropriate section to arrive not less than ten (10) days or more than thirity (30) days prior to the date of the meeting. The section representative shall preside at all sectional meetings, and failing this, the members may elect a chairman of the meeting. (b) Special Section Meetings: The President, upon receipt of a petition for a meeting bearing the names of at least twenty (20) percent of the section membership, may call a special meeting. Minimum notice requirements for a special meeting shall be the same as for a regular sectional meeting. (c) Voting by Mail: The provisions of Section 4 of this Article shall also apply to regular or special section meetings. -5- ARTICLE VII - BOARD OF DIRECTORS Section 1. -Powers and Duties of the Board. The business and property of the corporation shall be managed and controlled by the Board of Directors, consisting of not less than seven (7) nor more than thirty (30) voting members. The President of the USSA-Central Division shall serve as a Director ex officio. The Board shall have the power and authority to make rules and regulations not inconsistent with the laws of the State of Illinois and the Bylaws of this corporation for the guidance of the officers and committees of the corporation; to call meetings of the members when deemed advisable, and generally to exercise all of the powers for the transaction of the corporation's business; being expressly understood that nothing herein contained shall be deemed to limit or restrict the general vested authority in the Board of Directors for management control of this corporation. (a) Special Duties: In addition to all other duties and powers prescribed in the Illinois Non-Profit Corporation Act, the Articles of Incorporation and other provisions of these Bylaws, the Board shall: 1. Appoint a registered office and registered agent at its said address for purposes of complying with the Illinois NonProfit Corporation Act; 2. Determine the principal place of business for this corporation, which 'does not necessarily have to be at the registered office; 3. Designate the official journal to be distributed to the members; 4. Elect the officers of this corporation as are identified in these Bylaws. Section 2. Qualification of Directors. Any voting member who is a resident of the United States and in good standing as determined by the Secretary may be elected as a Director of this corporation. Section 3. Term of Office. The term of office for those elected to the Board shall be two (2) years, and until their successors are elected. However, initially from the date of enactment of these Bylaws, a person elected shall be elected for terms of one (1) or two (2) years in order that the terms of office as Directors will expire only for one-half (1/2) of the Directors in each year. The implementation of this change shall be accomplished by the Board of Directors. -6- Section 4. Election of Directors. The elections of Directors shall be held annually by mail in such fashion that the results may be tabulated and persons elected shall be notified no later than October 1, and further, consistent with Section 3 of this Article in effect and so that only one-half (1/2) of the entire Board shall be elected in each year. In order for a member to be elected as a Director, he must be a voting member in good standing who is a resident of the United States as offidally determined by the Secretary. At least thirty-five (35) days prior to the election of Directors, the Secretary shall mail a card to each eligible member. The card shall give the member the opportunity of nominating any other member in his section in good standing for each opening, and acknowledging that that member is willing to be nominated. The nomination must be received by the Secretary within fifteen (15) days of mailing, not including the day of mailing. Ballots shall then be prepared by section, including all candidates for vacant positions on the Board of Directors, and sent to all voting members in good standing. Completed ballots shall be returned to the Secretary before the closing date in order to be counted. If a member wishes to cast a secret ballot, the completed ballot shall be sealed in a plain enevelope marked "ballot." The ballot envelope shall be sealed in an outer envelope containing the member's signature, membership number and return address, and no ballots or inner envelope shall contain reference to member's identity. Section 5. Representation. The members of the Board shall be elected on the basis of two (2) Directors from each section within the area of the CSIA. Section 6. Board Meetings. (a) Regular Meetings: The Board of Directors shall meet in regular session at least once each year, and the annual meeting at which the officers are elected, shall be held as soon as possible following the election of Directors. (b) Special Meetings: Special meetings may be held at any time and place designated in advance at a regular Board meeting or a time and place determined by the President or upon written request for such special meeting signed by three (3) Board members. Written notice of special meetings ahall be given by mail to each member at least ten (10) days prior to the date of the special meeting. Section 7. Quorum. -. :- "-\ .. " ~ > - 'II. " .......... ."", A quorum of the Board will be a majority of its membership and no business shall be transacted at a regular or special meeting of the Board unless such a majority of its members is in attendance. The record of attendance shall be kept at all regular and special meetings of the Board and made a part of the meeting minutes. In the absence of a required quorum, the members in attendance may adjourn the meeting to a later date and the absent members shall immediately be notified of such postponement. Such adjournments may be made from time to time until such time as a quorum can be present. -7- Section 8. Voting by Mail. The Board may be polled by the Secretary at the request of any Board member. A ballot shall be prepared stating the nature of business which shall be limited to matters permitting a "yes" or "no" vote and mailed to each member subject to return within ten (10) days from the date of such ballot mailing, excluding the day of mailing. The results of the poll shall be tabulated listing each member's vote by name, and the Board member shall be informed of the results. If no protest is made by a Board member within ten (10) days of mailing of the result, the action shall be final. If a protest is made, the entire Board shall be advised immediately as to the nature of such protest, and the matter shall beheld in abeyance for a period of ten (10). days pending a vote for reconsideration. Should the Board vote not to reconsider the matter, the original action shall become final. Section 9. Vacancies. Any vacancies occurring in the Board of Directors and any Directorships to be filled by reason of an increase in the number of Directors shall be filled by an affirmative vote of the majority of the Directors, unless the matter is referred to the membership for a special meeting by an affirmative vote of the majority of the remaining Directors, to fill such vacancy until the next general election. Section 10. Protest and Suspension of Board Action. Any specific action or ruling of the Board may be suspended temporarily by a petition bearing the signature of thirty (30) percent of the total eligible voting members. Upon presentation of any such petition, the Secretary shall prepare a ballot to be sent to all voting members with instructions to return the same within ten (10) days after the date of mailing of the ballots. The Secretary shall tabulate the ballot results and a two-thirds (2/3) majority of the total vote of the eligible voting members shall render the suspension of the Board action permanent. Less than two-thirds (2/3) majority vote shall result in revoking the temporary suspension. c.s I-A- , Section 1. ARTICLE VIII - OFFICERS • Offices. The officers of this corporation shall consist of the President, Executive Vice President, Administrative Vice President and Secretary, Financial Vice President and Treasurer, Technical Vice President, Certification Vice President, and Public Relations Vice President. (a) Term of Office: All officers shall be elected for terms of one (1) year and continue until their successors are elected. -8- (b) Removal of Officers: All officers of this corporation shall be subject to removal with cause at any time by two-thirds (2/3) vote of the Board of Directors. Section 2. Duties of Officers. Duties of the officers shall be prescribed by the Board and shall include, but not be limited to, the following: (a) .~P.resident; He shall preside at all Board meetings and meetings'otLene general membership; coordinate all activities of the CSIA and represent the CSIA in its relationship with the USSA-Central Division, United States Forest Service, Area Operators Association, and other governmental bodies, corporations and associations concerning the skiing in the area; he shall, ~xecute such documents as are required to be executed by the corporation and perform such other duties as may be authorized or directed by the Board. of man the (b) Executiv. (d) Fjnans},l vise Presjdent and treasurer: He shall supervise the collect10n and disbursement 0 corporate funds with Board approval and shall keep and deposit the same for and on behalf of the corporation in the bank or banks to be designated by the Board; or in the absence of such designation, he may select the bank or banks in which to deposit such funds; implement the annual budget approved by the Board; purchase necessary insurance and indemnity bond; make purchases and investments as authorized by the Board; approve budgets; arrange for audits as they are required;and supervise all financial transactions. He shall perform such other duties as may be authorized or directed by the President or the Board. (e) Technical Vice President: He, with the assistance and approval of Ehe fecnn1cai Comm1ttee, shall prepare .and revise as necessary the CSIA instructional manuals. subject to further approval of bhe Board. He shall see that such manual is made available to the membership; cooperate with the Cettification Vice President in establishing technical ski teaching standards, and such standards shall be approved by the Board; shall supervise sanctioned member clinics; supervise the use of picture films and other training aids belonging to the CSIA; and plan and direct annual clinics. He shall perform such other duties as may be authorized or directed by the President or the Board. -9- (f) Certification Vice President: He shall, with the assistance of-the Certification Committee, plan and supervise preexamination clinics and all examinations; establish and maintain approved training programs for precourse instructors and examiners; shall see that the list of all qualified examiners and precourse instructors is compiled and submitted to the Technical Committee for their review. Any Certified Instructor is eligible to apply for consideration as a precourse instructor and/or examiner. Such application shall be made to the Certification Vice President and Certification Committee and who will also forward the same to the Technical Committee for their review. He shall perform such other duties as may be authorized or directed by the" President or the Board. The Certification Vice President will be elected from a different region at least every two (2) years. (g) ~ubJjS Relations Vice Presidegt: He shall arrange for advertising, news releases, and other matters for which public attention is desired. He shall perform such other duties as may be authorized and directed by the President or the Board. ARTICLE IX - EXECUT,lVE SEJ:;:R:ET~¥ The Executive Secretary shall be responsible to the Board of Directors and directly responsible to the Administrative Vice President and Secretary. He shall supervise the work of all office personnel; send out notices; subscribe to the minutes of all meetings of the members and of the Board; mai1.- as4 direcr'ed, copies of such minutes, letters and information to the members; publish annually a list of members in each category; compile annually and publish a list of recognized ski schools and directors of such" schools; mainbiTii a ·c"urr"ent'" fiTeOI-"P""'i-r-s"'!"t--],t-id Card records; issue instructor's pins and certification cards; keep current certification, financial, and historical records; and be responsible for the records and other properties under his management and control. He shall attest to all instruments executed by the corporation as may be required and shall perform such other duties as may be authorized and directed by the President or the Board. Official records of the corporation shall be made available to any member in good standing upon application to the President. Technical Committee. The Technical Committee shall consist of the Technical Vice President as chairman, and such other members he may selec·t. The duties of the Technical Committee shall include (1) coordination of activities of the Technical and Certification Committees in order to provide consistency between education and examinations; (2) assist the Technical Vice President in the preparation of member clinic programs submitted by him; (3) maintain liaison with other instructor organizations for the purpose of exchanging technical information; (4) receive and evaluate technical information from the membership and publish said information considered to have merit. -10- Section 2. Certification Committee. The Certification Committee shall consist of the Certification Vice President as chairman, and such other members he may select. The duties of the Certification Committee shall include (1) coordination of activities of the Technical and Certification Committees in order to provide consistency between education and examinations; (2) assist the Certification Vice President in preparation and revision of precourse and examination methods; (3) assist the Certification Vice President in the establishment of qualifications for precourse instructors and examiners and to approve the list thereof submitted by the Certification Vice President; (4) maintain liaison with other instructor organizations for the purpose of exchange of certification information. Section 3. Election Committee. The Executive Vice President shall be the chairman of the Election Committee. The President shall appoint such other Directors, officers or members co this Committee as he shall deem necessary and desirable after consultation with the Executive Vice President with respect thereto. The Election Committee shall prepare and mail all election material required by these Bylaws and by law, tabulate and record election results, and publish the results of said elections as required by these Bylaws and by law. Section 4. Budget Committee. The-Budget Committee shall consist of the Financial Vice President and the Administrative Vice President as Co-Chairmen, and such other persons as may be appointed by the Board. The Budget Committee shall prepare the annual budget for presentation at the regular Fall meeting of the Board of Directors; recommend to the Board at its Spring meeting the amount of annual dues to be paid by the various members; and perform such other duties as may be designated by the President. Section 5. Executive Advisory Committee. All former Presidents of CSIA and those appointed by the present President shall form an Executive Advisory Committee to which the Board of Directors may from time to time assign various duties. The chairman shall be appointed by the President. Section 6. Other Committees. The Board or the President, from time to time, may appoint such committees and committee chairmen as are deemed necessary and desirable to perform such corporate duties as may be and shall be delegated by them. \ l -11- ARTICLE XI - COMMUNICATIONS Section 1. Communications to CSIA Officers. Communications concerning CSIA business and affairs shall be addressed to the officer within whose province the matter lies or be addressed to the President or Administrative Vice President. Acknowledgement of communications from members shall be made as soon as possible, but never more than ten (10) days from receipt of the communication. Such reply shall, if the matter is routine business, inform the member of action taken or·to pe taken; and if it is a matter requiring Board action, the reply shall inform the member as to when the Board of Directors will act. Section 2. Appeals from Committee or Officer Action. A member may appeal to the Board of Directors any decision or action taken by an officer or any of the committees herein established, provided he do so within thirty (30) days after being informed of such action. Receipt of the appeal by the President or Administrative Vice President shall be acknowledged by return mail. If an officer's decision prompted the appeal, he shall be informed as to the time and place the Board will consider his appeal so that he will be privileged to attend and present his case. Failure to appear on behalf of the appeal shall not be considered prejudicial to the appellant and the matter shall be decided on its merits. ARTICLE XII - FINANCES Section 1. Expenditure of Funds. Expenditures of funds of the organization shall be made only as authorized by the Board of Directors. Section 2. Budget. The annual budget covering operating expenses shall be approved by the Board at its regular Fall Board meeting. Emergency expenditures which could not reasonably have been provided for in the annual budget may be made, subject to the ratification and approval by the Bbard of Directors. Approval of the budget by the Board of Directors shall constitute authority for the officers to expend funds within the limits of the amounts allocated for expenditures under individual direction. The CSIA will not be responsible for unauthorized debts incurred by any member, Director, or officer. No member, Director or officer shall have any proprietary interest in the assets of this corporation. In case of dissolution, the assets shall not be distributed to the members, but shall be disposed of in harmony with the above-stated objects and purposes of this corporation to another"non-profit organization or agency as set out in-·..t,he..·Articles of Incorporation. -12- ARTICLE XIII - LIABILITY No officer, Board member, or other member of this organization shall be liable for acts or omissions of any officers or Board member or member other than himself, whether or not such was in the performance of his official duties. ARTICLE XIV - ETHICS The CSIA hereby establishes the following Code of Ethics which shall be observed by its members: A professional ski instructor (1) subscribes to the principles and purposes of the United States Ski Association and its regional associations; (2) realizes that his prime obligation is to the skiing public and to the students who pay for his best ski teaching efforts; (3) seeks constantly to maintain and improve his competence as a ski teacher of one of the world's finest outdoor sports through a program of educational advancement and examinations offered by his association; (4) directs his students in practices and procedures that will be the utmost benefit to the student other than those which might be merely expedient; (5) adopts demonstrab1e,positive improvements in the art of ski instruction and discards after mature reflection and trial those which do not serve to upgrade skiing and its instructors; (6) always deports himself in a manner which will reflect credit upon his profession and his associates; (7) adopts with enthusiasm the high standards of the profession and the responsibilities placed upon him by the code and requirements of the USSA; (8) at all times conducts himself in a manner that will truly reflect the high degree of public trust placed upon him because of his professional status; (9) is fully aware that intentional deviation from this code and internal discipline could result in the loss of his instructor's credentials and rating and result in expulsion from membership in this organization. ARTICLE XV - PARLIAMENTARY AUTHORITY Roberts Rules of Order, Revised Edition, shall govern the procedures of the corporation in all cases to which they are applicable and in which they are not inconsistent with the provisions and rules of order set forth herein. -13- ---~-- ARTICLE X:v I - AMENDMENTS These Bylaws may be amended by a three-fourth (3/4) majority vote of the Board of Directors in attendance at a regular or special meeting called for that purpose. In addition thereto, they may be amended by a two-third (2/3) vote of those members voting by written ballot upon the proposed amendments, provided such amendments have been referred to the membership in one of three ways: (1) by the Board; (2) by a majority'of the members attending an annual meeting; (3) by a resolution bearing the signatures of at least thirty (30) percent of the voting members. When a proposed amendment to these Bylaws has been approved for submission to the voting membership by any of the three methods above described, it shall be mandatory that the Election Committee shall prepare ballots and distribute them to the voting members within sixty (60) days thereafter. OVER-SIZE BADGES ________________________________________________________________________________________________________ UNIT PRICE + 20 % For the customer who has a requirement for badges larger than the maximum standard size of 3" wide by 2 1/ 2 " high. Such badges, when dimensions are in excess of the maximum standard size, will be charged at the indicated rate, but in no case may they exceed 3 1/ 2 " wide by 3" high with-out a further surcharge, for which prices will be quoted on request. 6. COLORED PLASTIC __________________________________________________________________________________________________________ UNIT PRICE + 10% Normally, our badges are manufactured using clear plastic. However, colored plastic in a variety of colors is available, such as: Blue, Green, White, Yellow, Black, etc. The effect produces a badge with borders that are of the selected color, including the slot or indent area, and "sets-off" the badge to good advantage. It can simultaneously serve as a color code system to identify personnel by shifts, departments, or whatever. There are, of course, many other variations according to the needs of the user. Intermixing of colors is allowable at no extra cost. This feature cannot be used on badges incorporating a back print message or numbers on the back, since the colored plastic covers the entire back area. 7. NUMBERS ON FRONT OR BACK ___________________________________________________________________________________________________ PER BELOW Numbers are desirable in order to keep track of the badge by "identifying" to whom it was issued, such as an employee or a visitor in an industrial plant, etc. Numbers on the back of a badge cannot be specified when colored plastic is also specified. Three (3) categories of numbers are available: Guaranteed "Consecutive". All numbers are present and badges are packaged in numerical order. For example: Total quantity of badges ordered is 100 with guaranteed "consecutive" numbers from 1-100, inclusive. Guaranteed "Non-consecutive". These are usually "pick-up" numbers after an initial order, as needed, if sequence has to be maintained. Non-guaranteed "Consecutive". Total quantity of badges ordered will be present, but some numbers may be missing because they were spoiled in the lamination process. For example: Order is for 100 bad.ges with numbers to commence with 1. The ending number could be 104 or 120, or whatever, depending on the amount of badges spoiled, however, a total of 100 badges will be present. Sometimes only the badge insert (referred to as "Inner" hereafter) is desired die-cut in a certain shape. For example: A circle within a square badge would require only one die. Most often, however, a customer needs both the "Inner" and the badge itself (referred to as "Outer" hereafter) die-cut in a particular shape. This would then require two (2) dies: One "Inner" and one "Outer". Dies generally range in price from $15.00 to $45.00, or more, depending on the complexity of the badge design. This service is not allowed on "SPECIAL" badge orders as listed in the "Special Illustrations" brochure unless pre-arrangements are made along with commensurate extra charges 11. DIE-CUTTING OF BADGES ... Inner only ____________________________________________________________________________ 5¢ PER BADGE ... DOUBLE-SLOT BADGES ________________________________________________________________________________________________ PER PRICE SCH EDULE These are a valuable asset to any organization desiring to identify the wearer's position, as well as name. They are usually made with a %" title slot directly above the name slot, unless specified otherwise, 13. POCKET SLOT TYPE BADGES ____________________________________________________________________________________ QUOTED ON REQUEST This type of badge is normally manufactured in clear plastic, without any printing, for inserting a pre-printed paper insert containing, for example, a photograph along with a name, vital statistics and authenticating signature. DOU BLE-I N DENT BADGES ______________________________________________________________________________________________ PER PRICE SCH EDU LE For the customer who may need two separate indents, i.e., one at the top of the badge, another at the bottom. Other variations, for example, could be a 1/2 " indent over, but separated (about 1fa") from a 1" indent. When this situation occurs, it necessitates an extra process in the manufacture of the badge, and therefore will be charged at the indicated rate. C. BADGE ACCESSORIES Badge accessories for "SPECIAL" or "CUSTOMIZED" badges, either SLOT or INDENT types, are available as follows: 1. STUD SETS ... Per Color ________________________________________________________________________________________________________ $3.00 PER 100 Set consists of a plastic male and female, %" in diameter. They are used for a variety of purposes such as department assignments, employee shift designation, security clearance designation, and many other applications tailored to fit your needs. Their use simultaneously makes the badge "tamper-proof" if inserted in the slot I indent part of the badge, since they cannot then be easily removed. Colors available are: Red, Green, White, Brown, Yellow, Black, Blue, Bronze, Olive Drab, Orange, Pink and Clear. Minimum order, per color, one hundred (100) sets per color. 2. We also maintain a complete stock of associated supplies such as laminating plastics, fasteners, cements, round cornerers, cutting boards, etc. In addition, we further maintain a complete printing plant for any printed inserts you may require. Full particulars, prices and brochure available on request. -5- E. POLICY ITEMS -IMPORTANT, PLEASE READ: 1. Choice of Fasteners. Any of four may be ordered without extra cost: Light Jeweler's Safety Clasp Pin - LJP. Recommended for clubs, organizations, drug and department stores. Heavy-duty Jeweler's Safety Clasp Pin - HJP. Recommended for markets, commerce and industry. Rotating All Purpose Bulldog Clip - BDR. Recommended for lodges, organizations and commerce. Rotating Heavy-duty Alligator Clip - ALR. Recommended for heavy industrial and commercial use. 2. Extra Colors of Ink Re-order BONUS for "Customized" Badge Orders. When original order is placed, we will print twice as many badge inserts as ordered. This over-run will be used on subsequent reorders so that you pay only the Unit Price for the quantity of badges ordered until we have exhausted the over-run of inserts. At that time, it will be necessary to charge for any re-printing of the extra colors involved at the current rate. We will again print twice the number of badge inserts of the highest quantity order previously received. If and when re-printing of extra colors of ink is required, we will automaticaMy invoice accordingly. The foregoing bonus does not apply to any badges purchased for resale, for which extra colors of ink charges are applicable each order. 3. "Logo" on Badges Purchased for Resale. Our return "logo" will not appear on the back of any "CUSTOMIZED" badges purchased for resale. It will appear, however, on all "SPECIAL" badges purchased for resale, unless pre-arrangements are made with commensurate extra colors of ink re'printing charges applicable. 4. Retention of Printing Plates. Plates or "cuts" will be retained in our files, unless specifically requested by the customer. Maximum retention will be for a period of seven (7) years from year of last order, after which time, they will be destroyed unless instructions to the contrary are received. 5. Minimums. Badges - no less than 6; Names and Titles - no less than 5; and Stud Sets - no less than 100 per color. 6. Sample Badges. Will be prepared without cost Qr obligation upon decision of management. Upon ordering, however, the appropriate preparatory charges will be made. 7. Paper Slot Inserts. Blank white paper slot inserts in perforated strips to fit the badge order are furnished at no extra charge in the amount of one and one-half (1 %) times the number of slot badges ordered, including double slots. 8. Riveting Fasteners. It is not our policy to "rivet" fasteners to badges except by special request at extra cost. Our badges are fashioned with the fastener moulded to the badge with a small plastic "saddle", thereby insuring the face free from any defacement. We guarantee to replace any defective fastener at no charge. 9. Stock Background Color Changes. No extra charge is involved when different colors of stock background badge inserts are needed, provided the badge insert printing or design remains identical. Proof Badges. Once a firm order has been entered and assigned an identification number, a proof badge will be furnished if one is desired or if, in the interest of clarity, we deem it necessary. (A non-profit Minnesota Corporation) (Adopted by the Board of Directors on September 13, 1969) ARTICLE 1. , : Objects The objects for which the Association is formed shall be to promote ski instruction by professional ski instructors; handle problems of common concern to the ski teaching profession; establish and maintain the highest standards of business practices, custom and usage; promote and advance the interests of the ski teaching profession; represent and act for the ski teaching profession 'before divisions of government and before thOSe public and privEte organizations whose work affects the ski teaching profession; prepare or assist in the preparation of high certification standards and technical alignment; conduct promotional activities, including advertising and publicity; assist in the development of efficiency in the ski industry through technical research; engage in any lawful activities which will enhance efficient and economic progress of the ski teaching profession and apprise the public of its scope and character; and perform such acts and services for the ski teaching profession as may be more satisfactorily performed by a group rather than by individual action. ARTICLE II. Membership Section A - Classes of Members. There shall be four classes of members in the Association, which classes shall De, respectively, (a) Full Members, (b) Associate Members, (c) Registered Members and (d) Honorary Members. ' Section B - Eligibility for Nembership. (1). Full Members. Any individual who (a) has been "fully certified" by a divisional ski instructor association or organization, and (b) who is in good standing in such organization, shall be eligible for membership as a Full Member of the Association. Any individual who has not been certified by a divisional ski instructor association or organization, but who is in good standing in accord with the standards of such ,association or orgahization as an apprentice or registered instructor, shall be eligible for membership as a Registered Member of the P.S.I.A. Association. - (4) HonorarS Members. By action of the Board of Directors, any person foundy the Board of Directors to have rendered outstanding service to the Association or to the advancement of ski instruction shall be eligible for recognition as an Honorary Member of the Association. Section C - Membership As the Board of Directors may rom t~me to t~me rna e ava~ ab e certain pins or other insignia indicating membership, such:insignia shall be available only upon such terms and conditions as are stated by the Board. ARTICLE III. Divisional Associations Section A - Divisions. ARTICLE IV. Fiscal Year of Association and Dues and Assessments and Finances Section A - Fiscal Year. The fiscal year of the Association shall be July I of each year. ----, .. - _.' '-2- , ! . Section B - Annual Dues. The annual dues of Full and Associate Members of the Associ.:1tion sh.:11l be a uniform swn not in excess of Fi~teen Dollars ($15) pe~ year as determined from year to year b~-~he Board of Directors in advance of the year for which such dues are payable. Registered Members shall pay dues not in excess of Ten Dollars ($10) per year as determined by the Board of Direceurs. Honorary Members shall pay no dues. Upon determination by the Board of Directors of annual dues for.the-next year, each divisional organization comprising. the Association during the year for which the dues are determined shall be obligated to pay in advance during such year on or before July 1st, but not later than Novel1lber ,1st of each year, the annual -dues for such year. The voting power of a Director shall be determined by the number of paid-up members on and afterI November 1st of each year. ~.,. Section C - Association Expenses. (1) Budget and Finance Committee. There shall be a Committee on Budget and Finance and consisting of the Second Vice President as Chairman and two or more additional members as are appointed by the Pre~ident with the consent of the Board of Directors. This committee shall formulate a plan of budget in writing and present the same to the Divisions at least 30 days prior to the annual meeting. Such budget shall ,require the approval of the Board of Directors. (2) Committee Expenses. Any PSIA committee requiring operating funds for the forthcoming fiscal year may submit such request to the Budget and Finance Committee sixty (60) days prior to the annual meeting. (3) Auditing. A certified public accountant shall be appointed each year by the Board of Directors to audit and examine the Association accounts and all other financial transactions of the PSIA, and a formal written report shall be submitted thereon , at the annual meeting . ..... ---.. - (4) Association Funds. Association funds shall be used exclusively for Association expenses as determined in accord with the Bylaws. No one shall incur bills without authorization of the President, or in his absence the First Vice Presid~nt, for any purpose which has not been approved by the Board of Directors and membership except as herein provided. Non-budgeted expenditures shall be limited in anyone fiscal year to a total of 20 percent of the income of the Association. Such expenditure shall be made from a contingency fund created for such purpose~ and monies shall be expended only upon authorization of the Board of Directors or Executive Committee. (5) Travel Expense. The reasonable travel and related expenses shall be paid by the Association for members of the Board of Directors and officers and such committee chairmen or members as are appointed by the Board of Directors or such others as may be engaged in official PSIA business. The Board of Directors shall establish such policies as will provide for uniform and equitable reimbursemenc for such expenses. -~- • I I (6) Bonding of Officers. Any officers having authority to execute any instrument for the payment of money may be required to give bond in such amount as may be required by the Board of Directors for the faithful discharge of such officer's duties. (7) Authoritl to Sign. All checks, notes, drafts and any' other instruments tor the payment of money shall be executed on behalf of the Association and countersigned by such officers as the Board shall from time to time authorize. All such instruments must be signed by individuals authorized as agents for the Association. (~) Compensation. Subject to the directions and limitations given and imposed by action of the Members, the Board shall fix the compensation, if any, to any Director, officer or employee of the Association; provided, however, that no Director as such or member of any committee as such, shall receive compensation for his services to the Association other than payment of expenses as -----determined by the Board. ARTICLE V. Meetings of Members of the Association Section A - Annual Meetin~. The Annual Meeting of the members of the Association shall be held at such time and place in the continental United States or Canada as shall be determined by the Board of Directors of the Association. Such meeting shall be held between the month of March and December of each year. Section B - Other Meetings. Meetings of the members of the Association other than the Annual Meeting may be called by the Board of Directors) the President, or by written request of 100 Full or Associate Members as hereinafter described. Upon written request fC51:'--a -meeting of the members sent by registered mail or delivered in person to the President by 100 Full or Associate Members setting forth the purpose or purposes for the meeting, the Association shall, within 10 days after the receipt of such request, give to the members of the Association notice of a meeting to be held not less than 20 nor more than 45 days after the date of such notice of the meeting, which notice shall state the purpose or purposes of the meeting. If such notice shall not be given,within 10 days after such delivery or mailing of such request to the President~ the members so requesting the meeting may fix the time of the meeting and give, or cause to be given, notice of such meeting in the manner above stated, and the costs of the same shall be a proper Association expense. Section C - Notice of Meetings. Not less than 30 days before the date fixed for any meeting or the members of the Association, written notice of the time and place of such meeting shall be given by the President (or, in case of his refusal, by the members entitled to call the meeting as provided in Section B of this Article). Such notice shall be served upon or mailed to each member. If "" .... ~ -4- such notice is mailed, it shall be directed, postaee prepaid, to such members at their respective addresses as they appear on the records of the Association, and notice shall be deemed to have been given on the date so mailed. If any meeting is adjourned to another time or place, 30 days notice shall be given to the membership. Section D - Voting by Members. Each Full Member shall be entitled to one vote and each Associate Hefuber shall be entitled to one-half "8 vote, in person or by proxy duly authorized in writing, on any a-cti"on submitted to a vote of the members. Only Full and Associate Members shall be entitled to vote on any action submitted to a vote of the members of the Association, but Registered Members and Honorary Members may attend, and participate (except to vote) at, any meeting of the members of the Association. Section E - ~uorum. To constitute a quorum at any meeting of members ot t e Association, there shall be present in person or by proxy at least 100 of the then total number of Full or Associate Members . -~.- Section F-Number of Votes Re uired for Action. In all cases except w ere otnerw~se expressly prov~ e ~n tnese Bylaws, a ------majority of the votes cast in person or by proxy by Full or Associate Members shall control on any action submitted to a vote of the members. Section G - Business. The normal order of business at an annual meeting shall be as determined by the Board of Directors. Roberts Rules of Order as Revised shall govern all meetings. Any action may be taken by the members of the Association at such annual meeting. ARTICLE VI. Action By Members of the Association Without a Meeting Any action may be taken by the members of the Association without a meeting, .except action with respect to changing or amending the Articles of Incorporation, as follows: (a) The Board of Directors shall determine that the particular action to be voted upon should be submitted to the Full or Associate Members without a meeting of the members of the Association. (b) The President shall thereupon mail to each Full or Associate Member, postage prepaid, and directed to the address of each such member as it appears on the records of the Association, a ballot setting forth in full the resolution or resolutions to be acted upon and a provision requesting that the completed ballot be mailed to the Executive Secretary at the address set forth on such ballot within 14 days after the date appearing thereon (which date shall be the date the ballot is mailed to such member). ~ .... (c) The Executive Secretary of the Association shall cOLUlt all such ballots returned to hirn, properly completed, prior to the close of business on th~ twenty-first day aiter the last day upon which such ballots were so mailed to the members and if a majority of the total number of ballots so voted and returned are in favor of such resolution or resolutions, then the action set forth in such resolution or resolutions shall be the action of the Association. j ARTICLE VIr. Subject to. the provisions of law, the Articles ot Incorporation, and these Bylm~s, and any direction given, or limitation imposed by action of the members, the Board of Directors (hereinafter sometimes called the "Board;!) shall hire such employees, establish such office or offices, retain such counsel and otherwise manage and conduct the business and affairs of the Association as it may deem advisable for carrying out the objects of the Association and these Bylaws. Section B - Number, Election and Term of Office. The number of Directors which shall constitute the Whole Board shall be nine. Each divisional ski instructor association as noted under'-ARTICLE I II, Sec tion A, shall be entitled to one liFull Certified" representative on the Board of Directors. The representative shall either be appointed or elected by the divisional association in accord with such policy as is established by the division.
